# Terms of use

> Draft of Couryo's terms of use. The service, your account, plans and payment, trust levels, cancellation and responsibilities.

## 1. Who we are

Couryo is a service of [WUNKA LEGAL NAME], registered in Brazil under CNPJ [CNPJ], with offices at [ADDRESS] ("Wunka", "we"). These terms govern the use of couryo.com, the app.couryo.com dashboard, and Couryo's API, SMTP and MCP server (together, the "Service").

## 2. The service

Couryo sends transactional and product email on behalf of its customers, through an API, SMTP and tools for AI agents, and provides domain verification, event logs, webhooks, a suppression list and deliverability monitoring. Features marked "coming soon" or "beta" may change or may not launch.

## 3. Account and access

- You provide accurate information to create an account, including a company or personal tax ID where applicable, which we may verify against public records.
- You are responsible for your API keys, your team's access and everything sent with them. We recommend 2FA, scoped keys and a spending limit.
- Tell us immediately about any unauthorized use. We may pause a key with suspicious usage to protect your account.

## 4. Acceptable use

You may only send email that complies with the law and with the [Acceptable use and suspension policy](https://couryo.com/en/acceptable-use), which is part of these terms.

## 5. Plans, prices and payment

- **Permanent Free plan:** 3,000 emails per month (up to 100 per day), for as long as Couryo exists. It is not a trial and will not be taken away from existing users.
- **Paid plans:** billed monthly or yearly at the price published at [couryo.com/en/pricing](https://couryo.com/en/pricing) when you subscribe. Overage is billed per 1,000 emails, up to the spending limit you set.
- **No per-seat fees.**
- **Price changes:** we give 6 months of notice, and existing customers keep their current price for 12 months after the change.
- **Payment methods:** international credit card in US dollars; customers in Brazil can also pay in reais.
- **Late payment:** we warn you before any restriction. During a short delay, critical transactional email (password, login and billing) keeps going out. [DEFINE THE GRACE PERIOD.]

## 6. Cancellation and refunds

You can cancel at any time, in one click in the dashboard. There is no lock-in. On monthly plans, paid access lasts until the end of the period already paid. On yearly plans, we refund the unused months pro rata.

## 7. Trust levels, pauses and suspension

Every account goes through automatic trust levels with public limits. If something looks wrong, pauses are gradual, explained and can be reviewed, as described in the [Acceptable use and suspension policy](https://couryo.com/en/acceptable-use). Immediate termination only happens on clear fraud or a legal order.

## 8. Availability

We work to keep the Service available at all times, but we do not guarantee uninterrupted operation, except where an SLA is part of an Enterprise contract. Planned maintenance is announced in advance whenever possible.

## 9. Data and privacy

- For your account data, Wunka is the **controller**.
- For recipients' data and the content of the email you send, you are the **controller** and Wunka is the **processor**, handling that data only to provide the Service, under your instructions and the data processing agreement (DPA).

## 10. Intellectual property

Couryo, its brand, code and documentation belong to Wunka. Your email content, templates and data remain yours; you grant us only the permission needed to provide the Service.

## 11. Liability

- We are not responsible for the content you send, nor for receiving providers' decisions to accept, filter or refuse messages.
- Except for willful misconduct or gross negligence, or where the law does not allow it, our total liability is limited to the amount you paid in the 12 months before the event. [REVIEW WITH COUNSEL.]

## 12. Changes to these terms

We may update these terms. Material changes are announced by email at least 30 days in advance. If you do not agree, you can cancel before the change takes effect.

## 13. Governing law

These terms are governed by the laws of Brazil. The courts of [CITY/STATE] have jurisdiction, without prejudice to consumer protection rules where applicable.
